1. Introduction
1.1. These Terms & Conditions (“Terms”) govern your access to and use of the YesScale.ai platform (“Platform”) operated by U x Machina Sp. z o. o. (“Company”, “we”, “us”).
1.2. By registering, subscribing, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1.3. The Platform provides intelligence tools for identifying potential leads and generating outreach messages. We do not provide sales, legal, or compliance services. You are solely responsible for any actions taken based on the Platform.
2. Eligibility and User Responsibility
2.1. Users may be businesses or individuals.
2.2. You represent and warrant that your use of the Platform will comply with all applicable laws, including but not limited to GDPR, CAN-SPAM, ePrivacy regulations, and anti-harassment and anti-spam laws.
2.3. You may not use the Platform for:
•Political campaigning
•Harassment, stalking, or intimidation
•Spam campaigns or unlawful solicitation
•Any illegal or abusive activity
2.4. You are solely responsible for:
•Reviewing and verifying any data or message generated by the Platform
•Ensuring compliance with applicable laws before contacting any leads
•Proper management of your credentials, uploaded files, and account
3. Platform Services
3.1. The Platform provides:
•Automated identification of potential leads from publicly available sources
•Qualification and analysis of leads
•Drafting of personalized outreach messages
•Management of subscription credits (monthly and add-on credits)
3.2. The Platform does not:
•Send messages on your behalf
•Bypass authentication or access restricted data
•Guarantee lead quality, accuracy, or response rates
3.3. Credit consumption:
•Monthly subscription credits expire at the end of each billing cycle
•Add-on credits do not expire
•Credits are used first from the monthly pool, then add-on pool
•You will only be charged for leads that have been qualified by the Platform and within your defined budget
4. User Content and Uploaded Data
4.1. You retain ownership of all uploaded content (files, links, pitch materials).
4.2. The Company may store uploaded content and generated lead data until you delete it or your account, subject to operational, legal, or technical requirements.
4.3. You grant the Company a worldwide, non-exclusive, royalty-free license to use, process, reproduce, modify, analyze, and display your uploaded content and related data for the purposes of:
- providing and operating the Platform
- improving, developing, and optimizing the Platform and its features
- training, testing, and enhancing algorithms and machine learning models
- ensuring security, fraud prevention, and system integrity
4.4. The Company may aggregate, anonymize, or otherwise de-identify data derived from your use of the Platform and use such data for any lawful purpose, including analytics, benchmarking, and product improvement, provided that such data does not identify you personally.
4.5. The Company does not claim ownership over your content but retains all rights to the Platform, underlying technology, and any improvements derived from the use of the Platform.
5. Disclaimers
5.1. The Platform is provided “as-is” and “as available.”
5.2. All outputs, including lead data and messages, may be inaccurate, outdated, or inappropriate. You must review all outputs before use.
5.3. We do not guarantee:
•Lead suitability
•Success or responses from outreach
•Continuous, uninterrupted, or error-free service
5.4. The Platform may utilize automated systems, including artificial intelligence and machine learning, which are continuously evolving. The Company makes no representations or warranties regarding how such systems are trained, updated, or improved.
6. Payments and Refunds
6.1. All payments are processed via Stripe.
6.2. Discretionary refunds may be issued at the Company’s sole discretion, e.g., in case of platform downtime or invalid charges.
6.3. Users may cancel subscriptions at any time; already processed leads remain accessible, but new runs cannot be started after cancellation.
7. Termination and Suspension
7.1. The Company may suspend or terminate your account without notice if you violate these Terms.
7.2. You may delete your account at any time. All stored data, including uploaded content and generated leads, will be permanently deleted upon account removal.
8. Intellectual Property
8.1. All Platform content, code, designs, and AI models are owned by the Company or its licensors.
8.2. You may not copy, modify, distribute, or create derivative works without express permission.
9. Limitation of Liability
9.1. To the maximum extent permitted by law, the Company’s liability is limited to the amount paid by you in the three months prior to the claim.
9.2. The Company is not liable for:
•Any indirect, incidental, or consequential damages
•Loss of business, revenue, or profits
•Claims arising from your use of outputs or actions taken with leads
9.3. You agree to indemnify and hold harmless the Company, its affiliates, officers, and employees against all claims arising from your use of the Platform.
10. Governing Law and Dispute Resolution
10.1. These Terms are governed by Polish law.
10.2. Any disputes shall be resolved exclusively in the competent courts of Poland, Warsaw.
10.3. Users waive the right to class-action lawsuits.
11. Changes to Terms
11.1. We may update these Terms from time to time. Updated Terms take effect when posted on the Platform.
